1. Acceptance of Terms

By accessing and using SmartBizCoach's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

SmartBizCoach provides business consulting services including but not limited to:

  • Strategic planning and business development
  • Management and leadership training
  • Market analysis and research
  • Operational efficiency consulting
  • Business skills development

3. Service Agreement

3.1 Engagement

All consulting engagements are subject to a separate written agreement that outlines the specific scope of work, deliverables, timeline, and fees.

3.2 Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Grant reasonable access to personnel and resources
  • Make timely decisions and provide feedback
  • Pay fees according to the agreed schedule

4. Payment Terms

  • Payment terms will be specified in individual service agreements
  • Late payments may incur additional charges
  • All fees are quoted in US Dollars unless otherwise specified
  • Refunds are subject to the specific terms of each engagement

5. Confidentiality

SmartBizCoach agrees to maintain the confidentiality of all client information and will not disclose any confidential information to third parties without written consent, except as required by law.

6. Intellectual Property

6.1 Client Materials

All intellectual property provided by the client remains the property of the client.

6.2 SmartBizCoach Materials

SmartBizCoach retains ownership of its methodologies, frameworks, and general knowledge. Specific deliverables created for clients become the property of the client upon full payment.

7. Limitation of Liability

SmartBizCoach's liability is limited to the fees paid for the specific engagement. We are not liable for any indirect, incidental, special, or consequential damages.

8. Termination

Either party may terminate an engagement with written notice. Termination terms and conditions will be specified in individual service agreements.

9. Governing Law

These terms are governed by the laws of Azerbaijan. Any disputes will be resolved through arbitration in Baku, Azerbaijan.

10. Professional Standards

SmartBizCoach adheres to the highest professional standards and ethical guidelines in all client engagements.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control.

12. Amendments

These terms may be updated from time to time. Clients will be notified of any material changes.
